Our Governance Structure is multi-tiered, comprising the Board of Directors, Board Committees, the Chief Executive Officer & Managing Director (CEO & MD), and the Management Committee. The Board is responsible for and committed to sound principles of Corporate Governance in HUL.
The Board plays a crucial role in creating value for all our stakeholders. The Board has robust governance practices and is supported by the Board Committees, the CEO & MD, and the Management Committee.
The CEO & MD, supported by the Management Committee, is responsible for ensuring delivery of the Company’s strategy, business plans and financial performance.
Responsible for overseeing the financial statements, internal control systems, legal & regulatory compliance, performance qualifications and independence of the Statutory Auditors.
Responsible for recommending Board of Directors, Key Managerial Personnel & Management Committee candidates, including their remuneration, performance and succession.
Governs and monitors our CSR policy, projects and budgets.
Oversee the vision and focus of our ESG strategy and sustainability initiatives.
Fulfil the responsibilities towards the review of investor standards and redress shareholders’ grievances.
